In addition to the “Insertion Order” (or “”IO”) for online campaigns or in-person event executed by you (“Company”) and delivered to KEJIWANGTUO (Beijing) Information Technology Co. Ltd. (doing business as “TechTarget”), these Terms and Conditions will govern the delivery of the advertising services that Company has purchased from TechTarget (each, a “Campaign”). The IO together with these Terms and Conditions, will be referred to herein as the “Advertising Contract”.
除由您(以下简称“公司”)签署并交付给科极网拓(北京)信息技术有限公司(代表TechTarget进行业务)的网络广告项目或现场活动“广告订单”(以下简称“广告订单”)之外,本合同条款同时也适用于公司从TechTarget购买的广告服务(每一项服务称为一个“项目”)的交付。广告订单与本合同条款以下统称为“广告合同”。
1. Online Campaign Requirements
网络项目需求。
If Company fails to deliver the applicable creative materials to TechTarget either (a) in accordance with the specifications provided by TechTarget for the applicable Campaign (the “Specifications”) and/or (b) prior to established deadlines, TechTarget (i) will not be held responsible for delivering any specific inventory allocations, performance guarantees, or other commitments of the applicable Campaign and (ii) may elect to reset or maintain the start and/or end dates for the applicable Campaign as it elects in its sole discretion. Use of all creative materials and Content (defined in Section 10 below) in a Campaign are subject to TechTarget’s prior approval. All online performance commitments (e.g., Impressions and Leads; each as defined below) will be measured by TechTarget’s ad servers. However, TechTarget acknowledges that many clients use third-party ad servers, and TechTarget agrees to work in good faith with Company to explain and correct any discrepancy between the two methods, if applicable. In an effort to minimize disputes over counting methodologies, TechTarget will automatically add 15% to all performance measurements generated by Company’s third-party ad servers. TechTarget, in its sole discretion, has the right to satisfy any shortfalls in performance commitments resulting solely from its failure to deliver a Campaign in accordance with the Specifications by electing to run additional advertising products as it deems proper. In the event TechTarget fails to so deliver a Campaign, TechTarget will work in good faith with Company to produce the desired results by extending the length of the Campaign at no cost to the Company.

2. Guarantee Programs
保证项目。
If a Campaign includes TechTarget providing a performance guarantee, the following terms shall apply. For purposes of this Advertising Contract, the following defined terms shall have the following meanings:
如果一个项目要求TechTarget保证效果,则须遵循以下条款。为了本广告合同的目的,下列条款应具有如下定义:
(i) “Click” shall mean each time a user clicks on a Company Content asset associated with a Campaign;
“点击(Click)”系指每一次用户点击与项目相链接的公司内容;
“Impressions” shall mean each time the applicable Company ad that is associated with a Campaign is served on the site(s) in the TechTarget network of websites;
“印象次数(Impression)” 系指每一次与项目相链接的公司广告在TechTarget的站点网络上运行;
“Lead” shall mean a Unique User that has completed the registration process on a TechTarget-owned site as a result of which (a) that Unique User’s individual information is captured by TechTarget and (b) such Unique User may then access a Campaign;
“下载数据(Lead)”系指每一个唯一用户在TechTarget所属网站完成注册过程,并且通过这种方式,TechTarget获取该唯一用户的个人信息,而且(b)该唯一用户可以随后访问该项目;
“Page View” shall mean each request to load a single HTML page that includes any Company Content;
“网页浏览(Page View)”系指每一次加载包含任何公司内容的单个html网页的请求;
“Performance Commitment(s)” shall mean, as applicable to the Campaign, a guaranteed minimum of any or all of the following: Total Aggregate Clicks, Total Aggregate Impressions, Total Aggregate Leads or Total Aggregate Page Views.
“效果承诺(Performance Commitment)”系指,在适用于项目的情况下,保证达到以下至少一个或所有的所承诺的最低数值:点击总数、印象总数、下载数据总数或者网页浏览总数。
“Total Aggregate Clicks” shall mean the total number of Clicks delivered over the course of a Campaign;
“点击总数”系指在项目执行过程中产生的所有点击数量;
“Total Aggregate Impressions” shall mean the total number of Impressions delivered over the course of a Campaign;
“印象总数”系指在项目执行过程中产生的所有印象次数;
“Total Aggregate Page Views” shall mean the total number of Page Views delivered over the course of a Campaign;
“网页浏览总数”系指在项目执行过程中产生的网页浏览总数;
“Total Aggregate Leads” shall mean the total number of Leads delivered over the course of a Campaign: and
“下载数据总数”系指在项目执行过程中所产生的下载数据(Lead)总数;
“Unique User” shall mean the single identity of a given user in a given Campaign.
“唯一用户”系指在某个特定项目中具有唯一性的用户。
Company will not be charged any additional fees if the Performance Commitment(s) referenced in the Advertising Contract are exceeded. TechTarget will continue to run the specified advertising products through the end of the stated Campaign period even if the Performance Commitment(s) delivered are satisfied prior to the expiration of the stated Campaign period. If TechTarget has not met any applicable Performance Commitment(s) prior to the expiration of the stated Campaign period, TechTarget retains the right to satisfy any such shortfalls by continuing to run the Campaign or by running additional advertising programs. TechTarget will work closely with Company to develop such programs. Notwithstanding anything contained herein or in the IO to the contrary, for all Campaigns (or applicable portions thereof) that contain a Lead guarantee Performance Commitment, the Company acknowledges and agrees that, in the event that the IO lists any specific content assets, that such assets (and the quantities thereof) are listed as examples (only) of components of the Campaign that TechTarget may elect to deploy in support of the Performance Commitment; provided, however, TechTarget reserves the right to determine which, and what quantities, of such assets to deploy, including the right to deploy additional or different assets in the course of the Campaign.

Company agrees that it will be invoiced monthly on a straight line basis (i.e., the total cost of the Campaign divided by the number of months of the Campaign) will be obligated to pay the invoice within 30 days of the invoice date, regardless of the actual timing of delivery of Impressions, Clicks, Page Views and/or Leads are delivered. Company acknowledges that it is receiving substantial value at the time that the advertising products outlined in the Campaign are delivered, independent of when the Impressions, Page Views, Clicks or Leads are generated.
公司同意TechTarget每月开具发票(即整个广告项目的金额除以广告执行月份),并且在发票开出后的三十天内支付发票金额。发票金额的支付与印象次数、点击、网页浏览和/或下载数据的实际交付时间无关。公司同意其所获得的实质价值产生于项目中所描述的广告产品交付之时,而不是印象次数、网页浏览、点击或下载数据生成之时。
Company agrees that the Performance Commitment(s) referenced in the Advertising Contract have been determined based upon Company’s marketing offers, also referenced in the Advertising Contract, and that its marketing creative materials, specific offers, and timely provision of any required deliverables directly impact TechTarget’s ability to satisfy the stated goal for Performance Commitment(s). Before and throughout the duration of the Campaign, Company agrees to work with TechTarget’s Client Services staff in determining mutually agreeable marketing creative and marketing offers, and to incorporate TechTarget’s input into marketing creative and marketing offers. Company is responsible for providing TechTarget all of the required customer marketing creative materials on a timely basis during the Campaign period. In the event that Company does not provide TechTarget with all of the required marketing creative by the contracted start dates or does not provide timely written notice of cancellation, in addition to any other rights and remedies available to TechTarget, any applicable Performance Commitment(s) become null and void.
公司同意广告合同中所指的效果承诺是基于公司市场推广内容(同样也在广告合同中注明),而且公司的市场推广材料、特定的推广内容以及提供任何要求的内容之及时性将直接影响TechTarget达到效果承诺要求的能力。在项目进行之前或者过程中,公司同意与TechTarget的客户服务人员一起,共同确定市场推广材料和内容,并将TechTarget的建议整合到公司的市场推广材料和内容中。在项目进行期间,公司有义务向TechTarget及时提供所有需要的市场推广材料。如果公司不能在合同规定的项目开始日期之前向TechTarget提供所需的所有推广材料,或者没有及时提供书面的取消通知,任何所适用的效果承诺均应视为无效,并且该等无效不应影 响TechTarget所拥有的其他权利和补救措施。
3. TechTarget White Paper Programs
TechTarget白皮书项目。
If a Campaign includes TechTarget translating and publishing a custom White Paper for Company, Company is required to submit its final approval on the White Paper within 30 days of the date TechTarget delivers the draft White Paper to Company. TechTarget will make reasonable efforts to communicate and work with Company to finalize the White Paper within said 30 day period. If Company fails to approve the White Paper within such 30 day period, TechTarget, in its sole discretion, may host the White Paper in its latest draft form for the entire period of the Campaign. In the event of the foregoing, Company is obligated to pay TechTarget the full price of the White Paper as stated in the Advertising Contract. Once the White Paper is hosted by TechTarget no changes may be made by Company without paying an additional charge associated with the change.

4. Microsite Programs

If a Campaign includes TechTarget developing and hosting a Microsite, the following terms shall apply. A “Microsite” is a custom webpage or website that TechTarget will host and make available over the Internet for theperiod of time set forth in the Advertising Contract commencing on the date on which the Microsite is accessible to the publicover the Internet (the “Launch Date”), and which Microsite may contain one or more of the following components:

Tab format as determined by Company and TechTarget based on the area(s) of focus;

TechTarget and Company agree that the Launch Date for a Microsite will be set forth in the applicable Insertion Order, but will be conditioned upon TechTarget’s receipt of all required deliverables conforming to the Specifications from Company 30 days prior to the Launch Date. Company agrees to work with TechTarget in order to launch the Microsite on a timely basis, and acknowledges that TechTarget shall not be held responsible for any delays caused by Company. If the Microsite Launch Date is delayed more than 60 days due to any acts or omissions of Company, TechTarget may deem the campaign to be cancelled by Company and Company will pay to TechTarget 100% of the contracted price on the Advertising Contract.
TechTarget和公司须在广告订单中注明专题的发布日期,但前提是在发布日期前的三十日,TechTarget必须从公司收悉与规格一致的所有应交付材料。公司同意与TechTarget合作以保证专题在规定的日期发布,并且同意TechTarget对因公司造成的任何延误不承担任何责任。如果由于公司的行为和疏忽,专题的发布日期推迟超过六十天,TechTarget可以认为公司取消了该项目,公司须按照广告合同规定支付TechTarget全额费用。
TechTarget will retain all right, title, and interest in and to the look and feel of the Microsite, including the template on which the Microsite was based and created. Company and TechTarget may create surveys or polls for display on the Microsite. Company shall own all surveys, polls and any results or data associated with such surveys or polls. Company hereby grants to TechTarget a royalty-free, worldwide, nonexclusive license to use the results and/or data associated with such surveys or polls in an aggregated form and with proper citation for marketing, promotional and other purposes.
TechTarget将保留对专题外观和整体风格的所有权利、专有权和利益,包括专题的创建和发布所基于的模板。公司和TechTarget可以在专题上开设调查和投票活动。公司拥有所有的调查和投票,以及与投票和调查相关的所有结果和数据。公司兹此向TechTarget授予免版权费的、全球性的、和非排他性的许可,为了市场推广、促销或其他目的以汇总的形式并附加合理的注释的方式使用与调查和投票相关的结果和数据。
5. TechTarget Email List Rentals Programs
TechTarget 邮件列表租用项目。
If a Campaign includes an Email List rental, the following terms shall apply. Company agrees to satisfy the requirements listed below prior to any third party list rental or usage of the List:

Company will provide TechTarget with their current physical address. The physical address will be included in all messages sent to the List on behalf of Company involving TechTarget. An address including a P.O. Box is not acceptable. Company is solely responsible for handling any communication they receive related to the list rental which is sent to their address. Company is responsible for maintaining an opt-out/suppression file for all email recipients who mail their opt-out request to Company at their location.

Company will provide TechTarget with an e-mail address to which all opt-out requests will be sent. If Company does not have a dedicated e-mail address for this purpose they may provide a link which an email recipient can click on to opt-out of receiving future offers from Company. This link or e-mail address will be posted in the third party mailing transmitted to the List on behalf of Company. It is the responsibility of Company to maintain a suppression file of any email recipient who opts-out of receiving future mailings via these methods.
公司将向TechTarget提供一个电子邮箱,所有选择退信的请求都会发到这个邮箱。如果公司没有专门的邮件地址来进行该项目,他们可以提供一个链接,邮件接收者可以通过点击这个链接来选择退订来自公司的所有邮件。该链接或者邮箱将会显示在代表公司向列表所发出的第三方邮件中。公司应负责维护任何邮件接收者通过这些方式退订任何未来邮件的退订名单。
Company acknowledges that there may be names on the TechTarget’s third party file which may be on Company’s suppression file. Company is responsible for supplying TechTarget with any relevant suppression files it may be in possession of, prior to the transmission of Company’s message. Upon receiving the suppression file(s), TechTarget will remove all applicable email addresses prior to transmission.

As it relates to List Rentals, TechTarget assumes no responsibility for the success or failure of Company’s email marketing or Web promotion Campaign, and will provide no refunds for mailings or promotions that do not produce Company’s desired results.
由于该项目与列表租用相关,TechTarget不负责公司邮件营销或者网络推广项目的成功或失败,并且在邮件或推广没有达到公司预期的结果时,不予以退款。
6. Events.
活动。
6.1 The following terms shall apply to all in-person events conducted by TechTarget on behalf of the Company. A “Conference Sponsorship” will be defined as Company’s purchase of sponsorship of a particular TechTarget in-person event, seminar or conference (each an “Event”) as set forth in an applicable Insertion Order. Such sponsorship may include the following:
如下条款适用于TechTarget代表公司所进行的所有现场活动。“会议赞助”系指公司根据相关广告订单购买TechTarget特定现场活动、讨论会或会议(各称为“活动”)的赞助资格。该等赞助资格可能包括如下内容:
A speaking opportunity at the Event;

Company logo and reciprocal links on the Event website;

Company logo in Event attendee materials;

A table top display on the Event exhibit floor;

Receipt of the Delegate Demographic Database, as defined below; or

Company logos and branding throughout the Event.
在活动整个过程中展示公司的标志和品牌。
6.2 Sponsor Limitations. Company acknowledges and agrees that it is not permitted to attend user sessions and that Company partners or resellers are not permitted to have a branded presence in Company’s booth or table-top display. Company expressly agrees not to sponsor, organize or manage any entertainment, meetings, tours, special events, hospitality suite functions, private functions or other activity during the Event hours that may be reasonably anticipated to have an adverse effect on attendance at the suites and meeting rooms in Event hotel. In the event that Company does not comply with any stated Event rules, TechTarget reserves the right to revoke, cancel or deny Company’s right to exhibit at the Event and any future TechTarget events and this Agreement shall be deemed to be canceled by Company.
赞助商的限制。公司知晓并且同意其不得参与用户会议,并且公司的合作伙伴或者经销商也不得在公司的展区或者桌面展示中陈列其品牌。公司明确同意,在活动期间,其不得赞助、组织或进行任何娱乐活动、会议、巡游、特别活动、招待活动、私下活动或其他活动,如果这些活动经合理预计将对在活动酒店的任何房间或会议室内进行的活动的参与具有不利影响。如果公司未能遵守任何约定的活动规则,TechTarget保留废除、取消或拒绝公司在活动中或者 TechTarget 任何未来活动中展示的权利,并且本协议应视为由公司撤销。
6.3 Database Release Clause. Company acknowledges that:

TechTarget may provide to Company an electronic database comprised of the demographic information provided by each of the Event delegates (“Delegate Demographic Database”), which will include the attendee information corresponding to Company’s sponsorship level for the Event.
TechTarget 可以向公司提供一份包含由各活动代表提供的统计信息的电子数据库(“统计数据库”),该等统计数据库将包含与公司对活动的赞助水平相对应的参与人员的信息。
TechTarget has compiled the Delegate Demographic Database based on its internal screening and approval process, however, both parties acknowledge that each delegate provides their own information, as a result of which TechTarget is not responsible for any inaccuracies in the Delegate Demographic Database;
TechTarget系根据其内部过滤和审批程序编制统计数据库;但是,各方均知晓各代表仅提供其各自的信息,因此 TechTarget不对统计数据库的任何差错承担责任。
in consideration for TechTarget providing the Delegate Demographic Database to Company, Company accepts the Delegate Demographic Database subject to the following conditions:

(a) the content of the Delegate Demographic Database may be used by Company solely for its own internal marketing purposes; and

(b) it will not disclose any of the content of the Delegate Demographic Database to any third party including, without limitation, its channel partners, resellers, distributors, integrators, independent sales representatives or independent software vendors.

consistent with industry practices and as a reasonable security measure, TechTarget seeds the Delegate Demographic Database with certain data in order to monitor unauthorized use; and
与行业惯例一致,并且做为合理的安全措施,TechTarget在统计数据库中包含有特定的种子数据,以便监控未授权的使用;以及
in the event that Company breaches the above conditions with respect to the Delegate Demographic Database, Company will be obligated to pay TechTarget, per occurrence, the full retail price of the Delegate Demographic Database as determined by TechTarget in it’s sole discretion.
如果公司违反上述有关统计数据库的使用条件,公司应就每次违反,向TechTarget支付统计数据库的全部零售价格,该等零售价格由 TechTarget 自行确定。
6.4 LIABILITY OF COMPANY.

6.4.1 COMPANY’S PROPERTY. COMPANY ACKNOWLEDGES THAT (I) IT IS SOLELY RESPONSIBLE FOR ANY DEMONSTRATION MATERIALS AND PRODUCTS USED IN CONNECTION WITH THE EVENT AND FOR INSURING ITS PROPERTY FROM ALL LOSS OR DAMAGE AND (II) ALL OF ITS PROPERTY IS DEEMED TO BE IN ITS CARE, CUSTODY AND CONTROL IN TRANSIT TO AND FROM, OR WITHIN THE CONFINES OF, THE EVENT SITE. COMPANY AGREES NOT TO MAKE ANY CLAIMS AGAINST TECHTARGET FOR LOSS, THEFT, DAMAGE, OR DESTRUCTION OF PROPERTY, OR INJURY, INCLUDING DEATH, TO ITSELF, ITS EMPLOYEES, AGENTS OR REPRESENTATIVES, UNLESS CAUSED SOLELY BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF TECHTARGET.
公司的财产。公司知晓(I)其将独自负责与活动有关的任何展示材料和产品,并且为其财产的所有损失或损坏提供保险,以及(II)其所有财产,在运送至活动场所、或从活动场所运出,或在活动场所内,应视为在其照看、保管和控制中。公司同意不针对其财产的任何损失、失窃、损坏或灭失,或其自身、雇员、代理人员或代表的伤害,包括死亡,向TECHTARGET提出任何诉讼主张,除非系完全由于TECHTARGET的重大疏忽或有意的不当行为造成的。
6.4.2 PROPERTY OF OTHERS. COMPANY ACKNOWLEDGES THAT IT IS SOLELY LIABLE FOR ANY DAMAGE CAUSED BY ITS EMPLOYEES, AGENTS OR EQUIPMENT TO BUILDING FLOORS, WALLS, OR COLUMNS, OR TO STANDARD BOOTH EQUIPMENT, OR TO OTHER PROPERTY BELONGING TO THE EVENT SITE OR OTHER EVENT PARTICIPANTS OR ATTENDEES, INCLUDING, WITHOUT LIMITATION ANY INJURY OR DAMAGE RESULTING FROM COMPANY’S FAILURE TO COMPLY WITH ANY OF THE EVENT RULES AND REGULATIONS.
他人财产。公司知晓其将独自承担其雇员、代理人员或设备对建筑物的地板、墙壁或柱子,或对标准的展区设备,或对属于活动场所的或其他活动参与人员的其他财产所造成的任何损害,包括但不限于由于公司未能遵守活动的任何规则所导致的损伤或损害。
7. Payment Terms
支付条款。
Payment is due from Company within 30 days from the date of the invoice. TechTarget will impose and Company will pay interest on all past due amounts at a rate equal to the lower of 1.5% per month or the highest rate permitted by applicable law. If Company fails to pay fees invoiced by TechTarget within fifteen (15) days following payment due date, then in addition to any other rights TechTarget may have, TechTarget shall have the right to suspend delivery of all or a portion of the services, provided that TechTarget has provided prior notice to Company and five (5) business days opportunity to cure. In TechTarget’s sole discretion, provision of services shall not be reinstated until Company pays all such overdue amounts. At no time may Company withhold payment of any portion of fees that are not subject to a good faith dispute between the parties. All Advertising Contracts are accepted subject to the current TechTarget rate cards at the time the Advertising Contract was signed. Rates will be protected for the duration of any signed Advertising Contract. Except for the foregoing, TechTarget reserves the right to change rates at any time. TechTarget reserves the right to hold Company and, to the extent applicable, it’s advertising agency, jointly and severally liable for all amounts that are due and payable hereunder, including all costs of collection and attorneys’ reasonable fees. All payments shall be made without deduction for withholding taxes. TechTarget acknowledges and agrees that TechTarget will be solely responsible for all (a) employment taxes, withholding, or social insurance obligations or similar items, or (b) taxes on TechTarget’s net income, including any interest or penalties thereon, related to or arising in connection with this Advertising Contract.
公司应在发票开具日后的30天内完成付款。TechTarget就所有到期未付款项将向公司征收利息,利率应按如下两项中较低者为准:(a)每月1.5%,或(b)所适用的法律允许的最高利率。如果公司未能根据TechTarget 所出具的发票在款项到期后的十五(15)天内支付费用,则在TechTarget所享有的任何其他权利之外,TechTarget应有权中止提供所有或部分服务,但是TechTarget应提前通知公司,并给予公司五(5)个工作日的时间完成付款。除非公司完全支付所有超期款项,否则TechTarget有权自行决定是否继续提供服务。在任何时候,公司都不得暂停支付任何费用,除非双方对该等费用存有善意分歧。所有广告合同均根据TechTarget在广告合同签署时的现行价目表制定。在任何签署的广告合同期间内,价目表维持不变。除上述约定外,TechTarget保留在任何时候调整价目表的权利。就本协议项下到期应付的所有款项,包括催款的所有开销和律师的合理费用,TechTarget保留追究公司以及,在可行的情况下,其广告代理商的连带责任。所有款项的支付不得扣除预提税。TechTarget知晓并同意TechTarget将独立承担与本广告合同有关的,或者由本广告合同所产生的所有(a)雇佣税、预提税,或社会保险的义务或其他类似税目,或(b)就TechTarget的净收入应缴纳的税费,包括任何利息或罚款。
8. Cancellation.

(b) Definitions.
定义。
“Standard Online Products” shall include, without limitation, white paper syndication, microsites, banners, list rentals, editorial sponsorships, and email promotions.
“标准线上产品”应包括,但不限于,白皮书发布、专题、展示广告、邮件列表租用、编辑内容赞助和电子邮件促销。
“Custom Online Products” shall include, without limitation, any translated whitepaper or other non-standard online offering “customized” for Company.

“Events” shall mean in-person conferences, IT salons or events.
“活动”应指现场会议、IT 沙龙或活动。
“Launch Date” shall mean the date on which a specific campaign asset is scheduled to be available to the public on TechTarget’s network of websites, and, in the case of an Event, the date that the applicable event is scheduled to commence.
“发布日”系指具体的广告产品在 TechTarget 的网站网络上向公众开放的计划日期,并且,如为一项活动的情况下,系指相关活动计划开始的日期。
(c) The following terms shall govern the cancellation of Campaign Assets prior to the applicable Launch Date. In the event that Company cancels a campaign following a Launch Date, Company shall pay 100% of the contracted price on the Statement of Work or IO for the applicable cancelled asset(s).
如下条款适用于在相关发布日之前取消广告产品。如果公司在发布日之后取消广告产品,公司应就相关被取消的产品按照工作报告或广告订单支付全额的合同价款。
Standard Online Products. Company may cancel any Standard Online Product at any time prior to the 15th business day prior to the Launch Date for the applicable Standard Online Product without payment of any cancellation fee. In the event that Company cancels a Standard Online Product following such 15th business day, Company shall pay 100% of the contracted price on the Statement of Work or IO for the applicable cancelled asset(s).
标准线上产品。公司可以在相关标准线上产品的发布日之前的15个工作日之前的任何时候取消任何标准线上产品,并且无需支付任何取消的费用。如果公司在该等15 个工作日之内取消标准线上产品,公司应根据被取消的线上产品相关的工作报告或广告订单支付全部的合同价款。
Custom Online Products. Company may cancel any Custom Online Product at any time prior to the 30th business days prior to the Launch Date for the applicable Custom Online Product without payment of any cancellation fee. In the event that Company cancels a Custom Online Product following such 30th business day, Company shall pay 100% of the contracted price on the Statement of Work or IO for the applicable cancelled asset(s). This will include any fees incurred through TechTarget’s required utilization of third party vendors.
定制线上产品。公司可以在相关定制线上产品的发起日之前的30个工作日之前的任何时候取消任何定制线上产品,并且无需支付任何取消的费用。如果公司在该等30个工作日之内取消定制线上产品,公司应根据被取消的线上产品相关的工作报告或广告订单支付全部的合同价款。该等合同价款应包括TechTarget 使用第三方供应商所产生的任何费用。
Standard eNewsletters. Company may cancel Standard eNewsletters that are not custom created at any time prior to the 5th business days prior to the Launch Date for the applicable eNewsletter without payment of any cancellation fee. In the event that Company cancels a Standard eNewsletter following such 5th business day, Company shall pay 100% of the contracted price on the Statement of Work or IO for the applicable cancelled eNewsletter.
标准电子新闻邮件 。公司可以在相关标准电子新闻邮件(未经定制的)的发布日之前的5个工作日之前的任何时候取消任何标准电子新闻邮件,并且无需支付任何取消的费用。如果公司在该等5 个工作日之内取消标准电子新闻邮件,公司应根据被取消的电子新闻邮件相关的工作报告或广告订单支付全 部的合同价款。
Cancellation of Custom Content Deliverables. In the event that TechTarget has completed and delivered to Company any Custom Content Deliverable, Company shall, notwithstanding its cancellation of the Campaign with which such Custom Content Deliverable is associated, remain obligated to pay to TechTarget the fee set forth in the applicable Advertising Contract for such Custom Content Deliverable.
取消定制内容的交付产品。如果 TechTarget 已经完成并向公司交付了任何定制内容的交付产品,即便公司取消了与该等定制内容的交付产品相关联的项目,公司仍有义务向TechTarget 支付在该等定制内容的交付产品相关广告合同中所约定的费用。
Events. Company may cancel an Event at any time prior to the 90th business days prior to the date on which the Event is scheduled to commence without payment of any cancellation fee. In the event that Company cancels an Event following such 90th business day, Company shall pay 100% of the contracted price on the Statement of Work or IO.
活动。公司可以在相关活动计划开始日之前的90个工作日之前的任何时候取消任何活动,并且无需支付任何取消的费用。如果公司在该等90个工作日之内取消活动,公司应根据被取消的活动相关的工作报告或广告订单支付全部的合同价款。
9. Confidentiality
保密条款。
It may be necessary for a party to disclose to the other party certain confidential information (“Confidential Information”). Confidential Information includes, but is not limited to, user data, information or materials related to the business affairs and/or procedures of the disclosing party and/or one or more of its affiliates, or to the designs, programs, flowcharts, and documentation of the disclosing party’s information technology, whether or not owned by disclosing party, and all documentation and information supplied by the disclosing party marked confidential or which by the type of information or manner of disclosure would reasonably indicate the proprietary or confidential nature thereof, including without limitation any user data provided by TechTarget and all information related to the Campaign. Confidential Information shall also include the pricing, terms, conditions and contents of the Advertising Contract. The receiving party agrees to use Confidential Information solely in connection with the Campaign and not to disclose such Confidential Information to any third party, or make commercial use of such Confidential Information, except as permitted hereunder. The receiving party agrees to take all precautions necessary to safeguard the Confidential Information, which is in receiving party’s custody or control, which in no event shall be less than reasonable care. The receiving party shall disclose the disclosing party’s Confidential Information only to its employees and/or agents that have reason to know such Confidential Information for purposes of the Campaign and who are bound by written obligations of confidentiality no less protective of disclosing party’s rights than provided under this Section 9. Confidential Information does not include information which (a) is known to the receiving party at the time of disclosure by disclosing party, (b) has become publicly known through no wrongful act of receiving party, (c) has been rightfully received by receiving party from a third party who is authorized to make such disclosure, or (d) has been independently developed by receiving party without reliance upon any disclosing party Confidential Information. Because Company will have access to and become acquainted with the Confidential Information of TechTarget, Company agrees that its breach of this Section 9 will result in irreparable harm to TechTarget and that TechTarget will have the right to enforce this Advertising Contract and any of its provisions by injunction, specific performance or other equitable relief without prejudice to any other rights and remedies that the other party may have.

10. Ownership
所有权
(A) For purposes of this Advertising Contract, the following defined terms shall have the following meanings:
为了本广告合同的目的,如下条款应具有如下含义:
(i) “Content” shall mean all information, text, data, graphics, presentations, scripts, contact data, processes, designs, methods and other assets used or useful by TechTarget in the Campaign whether such Campaign is comprised of online, email or events offerings.
“内容”系指TechTarget在项目中使用的或对TechTarget有用的所有信息、文本、数据、图样、报告、草稿、联络数据、进程、设计、方案和其他资产,无论该等项目是否包括线上、电子邮件或活动产品。
(ii) “Custom Content” shall mean any Content developed or created by TechTarget under the terms of this Advertising Contract that expressly provides that such Content is being developed or created exclusively for Company.
“定制内容”系指由TechTarget根据本广告合同项下条款开发或制作的任何内容,只要该等内容明确表明系为公司单独开发或制作的。
(iii) “Customer Content” shall mean all Content developed or created by Company prior to execution of this Advertising Contract and provided to TechTarget by Company for use in connection with the Campaign.
“用户内容”系指在签署本广告合同之前由公司开发或制作,并提供给TechTarget以便在项目中使用的所有内容。
(iv) “Editorial Content” shall mean all Content that is provided by TechTarget in connection with the Campaign that contains product and offering reviews, and/or views, opinions, research, analysis or evaluations, and is created by or for TechTarget prior to or during the term of, this Advertising Contract.
“编辑内容”系指由TechTarget提供的,并与项目有关的,包含产品评论,和/或印象、意见、调研、分析 或评估 的所 有 内 容,该 等内容系 在本广告合同之前或其 期间内由TechTarget制作的,或为TechTarget制作的。
(v) “Leads” shall have the meaning ascribed thereto in Section 2 (“Guarantee Programs”).
“Leads”应具有在第2条(“保证项目”)项下所描述的含义。
(vi) “TechTarget Content” shall mean all Content that is provided by TechTarget to Company in connection with the Campaign and was developed or created by or for TechTarget prior to or during the term of this Advertising Contract, whether in connection with the Campaign or otherwise and shall expressly (i) include Vendor Content and Editorial Content and (ii) exclude Customer Content and Custom Content.
“TechTarget内容”系指由TechTarget向公司提供的,与项目有关的所有内容,该等内容系在本广告合同之前或其期间内由TechTarget制作的,或为TechTarget制作的;无论是否与项目有关,均应包括供应商内容和编辑内容,但不应包括用户内容和定制内容。
(vii) “Vendor Content” shall mean all Content that TechTarget provides to Company in connection with the Campaign and has been created or developed by third party IT vendors pursuant to agreements between TechTarget and such third parties either prior to, or during, the term of this Advertising Contract.
“供应商内容”系指由TechTarget向公司提供的与项目有关的所有内容,该等内容由第三方IT供应商根据其与TechTarget之间在本广告合同之前或其期间内制定的协议制作或开发。
(B) The parties acknowledge and agree that, as between the parties:
各方知晓并同意,在各方之间:
(i) all Customer Content and Custom Content shall be exclusively owned by Company and Company hereby grants to TechTarget a royalty-free, worldwide, nonexclusive license to use such Customer Content and Custom Content for the term of this Advertising Contract solely to allow TechTarget to execute the Campaign;
所有用户内容和定制内容应由公司独家拥有,并且公司兹此授予TechTarget免许可费的、全球的、非独家的许可从而在本广告合同期间内使用该等用户内容和定制内容,以便允许TechTarget执行项目;
(ii) all TechTarget Content shall be exclusively owned by TechTarget and TechTarget hereby grants to Company a royalty-free, worldwide, nonexclusive license to use such Content for its internal purposes for the term of, and consistent with the provisions of, this Advertising Contract; and
所有TechTarget内容应由TechTarget独家拥有,并且TechTarget兹此授予公司在本广告合同期间内免许可费的、全球的、非独家的许可,并根据本广告合同的条款,为其内部的目的使用该等内容;以及
(iii) all data associated with the Leads shall be exclusively owned by TechTarget and TechTarget hereby grants to Company a royalty-free, worldwide, nonexclusive license to use the Lead data solely for its internal purposes.
与Leads有关的所有数据应由TechTarget独家拥有,并且TechTarget兹此授予公司免许可费的、全球的、非独家的许可,仅为其内部的目的使用Lead数据。
(C) With respect to all TechTarget Content that TechTarget delivers, discloses or uses in the Campaign under this Advertising Contract, TechTarget warrants that it has the right to make such delivery, disclosure and use of such Content without liability to any third party (other than liabilities as to which TechTarget remains solely liable).
鉴于TechTarget根据本广告合同在项目中交付、披露或使用的所有TechTarget内容,TechTarget保证其有权进行该等交付、披露或使用,并且无需向任何第三方承担责任(TechTarget独立承担的责任除外)。
(D) With respect to all Customer Content that Company delivers, discloses or provides in order for TechTarget to execute the Campaign under this Advertising Contract, Company warrants that it has the right to make such disclosure, delivery or provision and that TechTarget can use such Content without liability to any third party (other than liabilities as to which Company remains solely liable).
为了TechTarget执行本广告合同项下之项目,公司交付、披露或提供的所有用户内容,公司保证其有权进行该等披露、交付或提供,并且TechTarget有权使用该等内容而无需对任何第三方承担责任(公司独立承担的责任 除外)。
(E) Company agrees to indemnify and hold TechTarget harmless from, and against, any expense, liability, claim or loss that results from any claims arising out of Company’s Campaign or conference sponsorship, including without limitation, a breach of Company’s representations regarding its ownership of any Content or other intellectual property provided to TechTarget in connection with a Campaign or the unauthorized use of TechTarget’s intellectual property.
公司同意就源于公司的项目或会议赞助产生的所有诉讼所导致的任何开销、责任、诉求或损失向TechTarget提供补偿,并保证TechTarget免于上述损害,包括但不限于违反公司就其为了项目的目的向TechTarget提供的任何内容或其他知识财产的所有权做出的陈述,或任何未经授权使用TechTarget的知识财产。
11. Relationship of the Parties
各方关系。
TechTarget will execute the Campaign under the general direction of Company. TechTarget, however will determine in TechTarget’s sole discretion the manner and means by which the Campaign is executed, subject to the express condition that TechTarget will comply at all times with applicable law including all Anti-Spam laws. TechTarget is an independent contractor and neither TechTarget, nor TechTarget’s employees nor agents are or shall be deemed hereunder agents or employees of Company.
TechTarget将根据公司的一般指示执行项目。但是,在TechTarget在任何时候须遵守所适用的法律(包括所有反垃圾邮件法)的前提下,TechTarget将自行决定项目执行的方式方法。TechTarget系独立承包方,并且在本合同项下,TechTarget或TechTarget的雇员或代理机构不是,并不应被视为公司的代理或雇员。
12. Termination
终止。
12.1 Termination for Breach. TechTarget may terminate the Advertising Contract in the event of a material breach of the Advertising Contract by Company which is not cured within thirty (30) days from receipt of written notice.
因违约的终止。如果公司严 重违反本广告合同,并且在 收悉书面通知后的三十( 30)天内未能改正,则TechTarget有权终止本广告合同。
12.2 Effect of Termination. Upon termination of this Advertising Contract for any reason, each party shall be released from all obligations and liabilities to the other occurring or arising after the date of such termination under this Advertising Contract, as applicable, except that any such termination shall not relieve the other party of its obligations under Sections 6 through 10 or any liability arising from a breach of this Advertising Contract.
终止的效力。如果因为任何原因终止本广告合同,各方应不再对另一方承担在该等终止之后所产生或导致的(如适用)任何义务和责任;但是任何该等终止不应解除该另一方在第6条到第10条项下的义务,或由于违反本广告合同所产生的任何义务。
13. GENERAL TERMS
一般条款。
UNDER NO CIRCUMSTANCES SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVEN IF THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING FROM THE PERFORMANCE UNDER OR FAILURE OF PERFORMANCE OF ANY PROVISION OF THIS ADVERTISING CONTRACT (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES), INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS. UNDER NO CIRCUMSTANCES WILL TECHTARGET BE LIABLE TO COMPANY FOR DAMAGES IN EXCESS OF AMOUNTS DULY INVOICED, PAYABLE AND OUTSTANDING UNDER THE ADVERTISING CONTRACT. NOTWITHSTANDING THE FOREGOING, TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE LIMITATIONS SET FORTH IN THIS SECTION SHALL NOT APPLY IN THE CASE OF (A) EITHER PARTY’S BREACHES OF SECTION 9 (“CONFIDENTIALITY”), (B) AMOUNTS PAYABLE PURSUANT TO EACH PARTY’S INDEMNIFICATION OBLIGATIONS HERUENDER OR (C) THE GROSS NEGLIGENCE OR WILFUL MISCONDUCT OF EITHER PARTY. TECHTARGET WILL NOT BE LIABLE FOR DELAYS IN SATISFYING THE CAMPAIGN OR CONFERENCE SPONSORSHIP OR DELIVERY, NON-DELIVERY, OR OTHER ERRORS THAT OCCUR AS A RESULT OF EVENTS BEYOND OUR CONTROL INCLUDING ACTS-OF-GOD, ACTIONS BY ANY GOVERNMENT ENTITY, FIRE, FLOOD, RIOT, EXPLOSION, EMBARGO, STRIKES, LABOR OR MATERIAL SHORTAGE, TRANSPORTATION INTERRUPTION, NATIONAL EMERGENCY, ACTS OF TERRORISM OR WAR, OR INTERNET OR COMMUNICATIONS FAILURE. TECHTARGET RESERVES THE RIGHT TO REJECT OR CANCEL ANY CAMPAIGN FOR ANY REASON AT ANY TIME. TECHTARGET WILL NOT BE LIABLE FOR ANY CLAIMS OR DAMAGES RELATED TO EXERCISING ITS RIGHT TO REJECT OR CANCEL ANY CAMPAIGN. TECHTARGET ACCEPTS ALL ADVERTISING AND SPONSORSHIP CUSTOMER CONTENT BASED ON COMPANY’S REPRESENTATION THAT IT (AND TECHTARGET ON ITS BEHALF) HAS THE RIGHT TO PUBLISH AND DISPLAY THE CUSTOMER CONTENT. COMPANY HEREBY AGREES TO INDEMNIFY, HOLD HARMLESS AND DEFEND TECHTARGET FROM AND AGAINST ANY CLAIMS ARISING OUT OF THE BREACH OF ANY TERM OF THE ADVERTISING CONTRACT, INCLUDING WITHOUT LIMITATION ANY CLAIM THAT THE CUSTOMER CONTENT INFRINGES UPON OR VIOLATES THE INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY.
在任何情况下,一方均无需向另一方承担由于执行或未能执行本广告合同项下条款所产生的间接的、附属的、特别的或惩罚性的赔偿(即便该方曾被告知该等赔偿的可能性,并且包括由第三方导致的该等赔偿),包括但不限于,收入或预期利润损失,或商业机会损失。在任何情况下,TECHTARGET均无需向公司承担超出本广告合同项下开具发票的,到期应支付的数额的责任。即便存在上述约定,如果所适用的法律许可,本条所约定之限制不应适用于(A)一方违反第9条(保密条款)的约定,(B)本合同项下一方的补偿义务所要求支付的款项,或(C)一方的重大疏忽或有意 的不当行为所导致的责任。对于迟延满足项目或会议赞助要求,或迟延交付、未能交付,或其他错漏,如果该等情形系由于任何超出我们控制的事项导致的,包括自然灾害、政府行为、火灾、洪水、暴乱、爆炸、禁运、罢工、劳动力或原材料紧缺、交通中断、国家紧急事宜、恐怖活动或战争,或网络或通讯瘫痪,TECHTARGET不应承担任何责任。TECHTARGET保留在任何时间并出于任何理由拒绝或取消任何项目的权利。对于行使其拒绝或取消任何项目的权利有关的任何诉求或损失,TECHTARGET不应承担任何责任。根据公司做出的其(以及TECHTARGET代表其)有权发布和展示用户内容的陈述,TECHTARGET接受所有广告和赞助的用户内容。公司兹此同意就任何违反广告合同的任何条款所导致的任何诉求,向TECHTARGET提供补偿,并免于TECHTARGET遭受损害,并为TECHTARGET提供辩护,包括但不限于有关用户内容侵犯或违反任何第三方的知识产权的诉求。
WHEN COMPANY EXECUTES TECHTARGET’S IO OR SPONSORSHIP AGREEMENT, COMPANY WILL BE DEEMED TO HAVE AGREED TO THESE TERMS AND CONDITIONS AND IS REPRESENTING AND WARRANTING TO TECHTARGET THAT THIS ADVERTISING CONTRACT HAS BEEN DULY AUTHORIZED, EXECUTED AND DELIVERED BY COMPANY AND REPRESENTS A VALID AND BINDING AGREEMENT OF COMPANY. FOR PURPOSES OF THIS ADVERTISING CONTRACT, THE TERM “COMPANY” SHALL BE DEEMED TO INCLUDE ALL OF ITS AGENTS, CONTRACTORS AND ASSIGNS. THIS ADVERTISING CONTRACT CONSTITUTES THE ENTIRE AGREEMENT AND UNDERSTANDING BETWEEN THE PARTIES CONCERNING THE PURCHASE OF TECHTARGET’S OFFERINGS AND/OR SERVICES UNDER THIS ADVERTISING CONTRACT AND MAY BE AMENDED ONLY BY A WRITTEN DOCUMENT EXECUTED BY A DULY AUTHORIZED REPRESENTATIVE OF EACH PARTY. IF ANY TERM OR CONDITION IN THIS ADVERTISING CONTRACT CONFLICTS WITH ANY TERM OR CONDITION IN ANY PURCHASE ORDER, WORK ORDER OR SIMILAR SUPPLEMENTARY DOCUMENT SUBMITTED BY COMPANY, THE TERM OR CONDITION SET OUT IN THIS ADVERTISING CONTRACT SHALL PREVAIL. NO PURCHASE ORDER OR OTHER DOCUMENT THAT PURPORTS TO MODIFY OR SUPPLEMENT THIS ADVERTISING CONTRACT SHALL ADD TO OR VARY THE TERMS OF THIS ADVERTISING CONTRACT AND ALL PROPOSED VARIATIONS OR ADDITIONS SUBMITTED BY COMPANY ARE OBJECTED TO AND DEEMED MATERIAL UNLESS OTHERWISE AGREED TO IN A WRITING SIGNED BY BOTH PARTIES. THE ADVERTISING CONTRACT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE PEOPLE’S REPUBLIC OF CHINA (EXCLUDING CONFLICT OF LAWS PRINCIPLES) AND COMPANY AGREES TO THE EXCLUSIVE JURISDICTION OF THE COURTS IN THE PEOPLE’S REPUBLIC OF CHINA IN THE EVENT THAT THERE IS ANY DISPUTE INVOLVING THE ADVERTISING CONTRACT.
公司签署TECHTARGET的广告订单或赞助协议,即视为公司同意本合同条款,并且向TECHTARGET陈述和保证本广告合同的签署系经合理授权,并系对公司有效和具有约束力的合同。为了本广告合同的目的,“公司”应视为包括其所有的代理机构、承包商和受让人。本广告合同包含了各方之间就购买TECHTARGET产品和/或服务的全部协议和谅解,并且非经各方的合法授权代表签署书面文件不得修改。如果本广告合同的任何条款和条件与任何购买订单、工作订单或公司递交的类似补充文件的任何条款或条件不一致,本广告合同项下的条款条件应具有优先的效力。提议修改或补充本广 告合同的任何购买订单或其他文件不应对本广告合同项下之条款进行补充或修改,并且除非经由各方书面签署,公司提 交的所有修改或补充建议应视为实质性的修改而被否决。广告合同应受中华人民共和国(不包括冲突法)的法律管辖, 并根据中华人民共和国的法律解释。公司同意,就有关本广告合同的任何纠纷,中华人民共和国的法院具有排他性的管 辖权。
